Terms of Service

"Account" means the registered user account you create to access the Service. "AI Output" means any interior design visualization, image, rendering, or other content generated by the Service in response to your User Content. "Service" means the RoomUp AI platform, including the website at roomupai.com, the iOS application available on the Apple App Store, the Android application available on the Google Play Store, and all related features, tools, and services provided by VSN CAPITAL LLC. "Subscription" means a paid subscription to the Service, either the Weekly Plan (US$8.99 per week) or the Monthly Plan (US$24.99 per month). "User Content" means any photographs, images, or other content that you upload, submit, or transmit to the Service. "VSN CAPITAL LLC," "Company," "we," "us," or "our" means VSN CAPITAL LLC, the operator of RoomUp AI. "You" or "User" means the individual or entity accessing or using the Service.

2.1 Agreement

By accessing, downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

2.2 Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are between thirteen (13) and seventeen (17) years of age, you may use the Service only with the verifiable consent of a parent or legal guardian, who shall be the contracting party for purposes of these Terms. By using the Service, you represent and warrant that you meet the applicable age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2.3 Modifications

VSN CAPITAL LLC reserves the right to modify these Terms at any time. For material changes, we will provide reasonable advance notice by posting a prominent notice within the Service or sending an email to the address associated with your Account at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and may request deletion of your Account.

3.1 What RoomUp AI Provides

RoomUp AI is an AI-powered interior design platform that enables users to upload photographs of their rooms and receive AI-generated interior design suggestions and redesign concepts. The Service includes features such as design style selection, room type categorization, design history, and the ability to save and download design results.

3.2 Service Availability

The Service is provided on an "as is" and "as available" basis. VSN CAPITAL LLC does not guarantee that the Service will be uninterrupted, error-free, or available at all times. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. Where we make material changes that adversely affect your use of the Service, we will provide reasonable advance notice.

3.3 AI-Generated Content Disclaimer

The interior design suggestions generated by our AI are intended for inspiration and reference purposes only. They do not constitute professional interior design advice, architectural guidance, or structural recommendations. VSN CAPITAL LLC does not guarantee the accuracy, completeness, or suitability of any AI-generated content for your specific space, budget, or structural requirements. For major renovation, construction, or structural decisions, always consult a licensed professional interior designer or architect.

3.4 AI Transparency (EU AI Act Compliance)

RoomUp AI uses generative artificial intelligence to produce interior design visualizations. In compliance with the EU AI Act and applicable transparency requirements, we disclose that all redesign outputs are AI-generated and may not accurately reflect real-world materials, dimensions, lighting conditions, or structural feasibility. AI-generated images should not be used as technical drawings or construction documents.

4.1 Account Creation

To access certain features of the Service, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately at [email protected] of any unauthorized use of your Account or any other breach of security. VSN CAPITAL LLC will not be liable for any loss or damage arising from your failure to comply with this obligation.

4.3 One Account Per User

Each user may maintain only one Account. Creating multiple Accounts to circumvent usage limits, subscription requirements, or any other restriction is prohibited and may result in the termination of all associated Accounts.

4.4 Account Deletion

You may delete your Account at any time by navigating to Settings → Account → Delete Account within the Service. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Deletion of your Account does not entitle you to a refund of any prepaid Subscription fees.

5.1 Subscription Plans

VSN CAPITAL LLC offers the following paid Subscription plans in addition to a free tier:

All prices are in United States Dollars (USD) and are exclusive of applicable taxes unless otherwise stated.

5.2 Free Trial

VSN CAPITAL LLC may offer a free trial period for paid Subscription plans. At the end of the free trial, your Subscription will automatically convert to a paid Subscription at the applicable rate unless you cancel before the trial period ends. We will notify you before the trial ends.

5.3 Billing and Payment

By subscribing to a paid plan, you authorize VSN CAPITAL LLC (through its payment processors, including Stripe, Apple, and Google) to charge your designated payment method on a recurring basis at the applicable Subscription rate. Subscriptions are billed in advance at the beginning of each billing cycle. You are responsible for providing accurate and complete payment information and for keeping such information current.

5.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your Subscription at any time through your Account settings or through the relevant App Store. Cancellation takes effect at the end of the current billing period; you will retain access to Pro features until that date.

5.5 Price Changes

VSN CAPITAL LLC reserves the right to change Subscription prices at any time. We will provide at least thirty (30) days' advance notice of any price increase by email and/or a prominent notice within the Service. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price. If you do not accept the new price, you must cancel your Subscription before the change takes effect.

5.6 Refund Policy

Except as required by applicable law, Subscription fees are non-refundable. If you cancel your Subscription, you will not receive a refund for any unused portion of the current billing period. Notwithstanding the foregoing: (a) if you are a consumer in the European Union, you have a fourteen (14) day right of withdrawal from the date of your initial subscription, unless you have already begun using the Service during that period; (b) if you are a consumer in Brazil, you have a seven (7) day right of withdrawal from the date of your initial subscription under the Consumer Defense Code; (c) if you subscribed through the Apple App Store or Google Play Store, refunds are subject to the applicable App Store's refund policy. 5.7 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service. VSN CAPITAL LLC will collect taxes where required by applicable law.

5.8 Failed Payments

If a payment fails, VSN CAPITAL LLC may attempt to re-charge your payment method and/or suspend or downgrade your Account to the free tier until payment is successfully processed. We will notify you of any payment failure.

6.1 Your Ownership

You retain all ownership rights in the photographs and other User Content you upload to the Service. These Terms do not transfer any ownership of your User Content to VSN CAPITAL LLC.

6.2 License to VSN CAPITAL LLC

By uploading User Content to the Service, you grant VSN CAPITAL LLC a limited, non-exclusive, royalty-free, worldwide license to: (a) store, copy, and transmit your User Content as necessary to provide the Service; (b) process your User Content through our AI systems to generate AI Outputs; and (c) display your User Content to you within your Account. This license is limited to the purposes of providing the Service and does not authorize VSN CAPITAL LLC to use your User Content for any other purpose, including training our AI models (see our Privacy Policy, Section 6.3).

6.3 Your Representations and Warranties

By uploading User Content, you represent and warrant that: (a) you own or have obtained all necessary rights, licenses, and consents to upload and use the User Content in connection with the Service; (b) the User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; (c) the User Content does not contain images of identifiable persons without their informed consent; (d) the User Content does not contain illegal content; and (e) the User Content complies with these Terms.

6.4 Content Restrictions

You may not upload User Content that: (a) contains nudity, sexually explicit material, or graphic violence; (b) depicts or facilitates illegal activity; (c) contains malware, viruses, or other harmful code; (d) violates the privacy or publicity rights of any person; (e) infringes any third party's intellectual property rights; or (f) is otherwise prohibited by applicable law or these Terms.

6.5 Content Removal

VSN CAPITAL LLC reserves the right, but has no obligation, to review, monitor, or remove User Content that violates these Terms or applicable law. We will notify you of any content removal where required by applicable law.

7.1 Ownership of AI Outputs

Subject to your compliance with these Terms and payment of applicable Subscription fees, VSN CAPITAL LLC grants you a personal, non-exclusive, non-transferable, revocable license to use, download, and share AI Outputs generated from your User Content for personal, non-commercial purposes. VSN CAPITAL LLC retains all intellectual property rights in the AI systems, models, and processes used to generate AI Outputs.

7.2 Commercial Use

Commercial use of AI Outputs (including use in advertising, for-sale products, or professional services) requires a separate written agreement with VSN CAPITAL LLC. Contact us at [email protected] for licensing inquiries.

7.3 No Guarantee of Results

AI Outputs are generated algorithmically and may vary in quality, accuracy, and relevance. VSN CAPITAL LLC does not guarantee that AI Outputs will meet your expectations, be suitable for any particular purpose, or accurately represent how a redesign would look in real life.

7.4 AI Limitations and Hallucinations

AI systems can produce inaccurate, inconsistent, or unexpected results. AI Outputs may contain visual artifacts, inaccurate representations of materials or dimensions, or other errors. Do not rely on AI Outputs for structural, safety, or professional design decisions without independent verification by a qualified professional.

8.1 VSN CAPITAL LLC's Intellectual Property

The Service, including all software, algorithms, AI models, interfaces, designs, text, graphics, logos, and other content provided by VSN CAPITAL LLC (excluding User Content and AI Outputs licensed to you), is owned by or licensed to VSN CAPITAL LLC and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code of the Service, except as permitted by applicable law or with our written consent.

8.2 Trademarks

"RoomUp AI," the RoomUp AI logo, and other VSN CAPITAL LLC trademarks, service marks, and trade names are the exclusive property of VSN CAPITAL LLC. Nothing in these Terms grants you any right to use VSN CAPITAL LLC's trademarks without our prior written consent.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant VSN CAPITAL LLC a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose without compensation to you.

You agree not to: (a) use the Service for any unlawful purpose or in violation of these Terms; (b) upload User Content that violates Section 6.4; (c) attempt to gain unauthorized access to the Service or its related systems; (d) use automated tools (bots, scrapers, crawlers) to access or use the Service without our prior written consent; (e) reverse engineer, decompile, or disassemble any part of the Service; (f) interfere with or disrupt the integrity or performance of the Service; (g) impersonate any person or entity or misrepresent your affiliation with any person or entity; (h) use the Service to develop competing products or services; (i) circumvent any access controls, usage limits, or security features of the Service; (j) use the Service to generate content that is defamatory, harassing, hateful, or otherwise objectionable; or (k) use the Service in any manner that could damage, disable, overburden, or impair the Service.

The Service may integrate with or link to third-party websites, applications, or services (including the Apple App Store, Google Play Store, Stripe, and social media platforms). VSN CAPITAL LLC does not control these third-party services and is not responsible for their content, privacy practices, or terms. Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review those policies before using such services.

Your privacy is important to us. Our Privacy Policy, available at roomupai.com/privacy, describes how we collect, use, and protect your personal information and is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your personal information as described in the Privacy Policy.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VSN CAPITAL LLC DOES NOT WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VSN CAPITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF VSN CAPITAL LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VSN CAPITAL LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO VSN CAPITAL LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).

The limitations of liability in this Section apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise. Some jurisdictions do not allow the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless VSN CAPITAL LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Service; (d) your violation of any third party's rights; or (e) your violation of applicable law.

VSN CAPITAL LLC respects the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please send a notice to [email protected] with the following information: (a) a description of the copyrighted work you claim has been infringed; (b) a description of where the allegedly infringing material is located on the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized by the copyright owner; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and (f) your electronic or physical signature. We will respond to valid DMCA notices in accordance with applicable law.

16.1 Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact VSN CAPITAL LLC at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.

16.3 Binding Arbitration (U.S. Users)

If informal resolution fails, you and VSN CAPITAL LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring claims in small claims court if they qualify. The arbitration will be conducted in English in the State of Florida, or by telephone or video conference. YOU AND VSN CAPITAL LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

16.4 EU/UK/Brazil Users

If you are a consumer located in the European Union, the United Kingdom, or Brazil, nothing in these Terms limits your right to bring a claim before the competent courts of your country of residence or to use applicable alternative dispute resolution mechanisms, including the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Nothing in these Terms is intended to limit or exclude any rights you may have as a consumer under applicable mandatory consumer protection laws, including but not limited to: the EU Consumer Rights Directive and applicable national implementing legislation; the UK Consumer Rights Act 2015; the Brazilian Consumer Defense Code (Law No. 8,078/1990); and the Florida Deceptive and Unfair Trade Practices Act. To the extent any provision of these Terms conflicts with your mandatory consumer rights, your mandatory rights shall prevail.

18.1 Termination by You

You may terminate your Account and these Terms at any time by deleting your Account through the Service settings. Termination does not entitle you to a refund of any prepaid Subscription fees.

18.2 Termination by VSN CAPITAL LLC

VSN CAPITAL LLC may suspend or terminate your Account and access to the Service at any time, with or without notice, if: (a) you violate these Terms; (b) we are required to do so by law; (c) we discontinue the Service; or (d) your Account has been inactive for an extended period. Where we terminate your Account without cause, we will provide reasonable advance notice and a pro-rata refund of any prepaid Subscription fees for the unused portion of the current billing period.

18.3 Effect of Termination

Upon termination, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including Sections 6.1, 7.1, 8, 12, 13, 14, 16, and 19) will survive.

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and VSN CAPITAL LLC regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

19.3 Waiver

VSN CAPITAL LLC's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.

19.4 Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without VSN CAPITAL LLC's prior written consent. VSN CAPITAL LLC may assign these Terms without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets.

19.5 Force Majeure

VSN CAPITAL LLC will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, power outages, or internet service disruptions.

19.6 Language

These Terms are written in English. In the event of any conflict between the English version and any translation, the English version shall prevail, except where prohibited by applicable law.
